Terms of service
Last updated September 22, 202601 — What these terms are and who accepts them
These terms govern the use of Tave, an agency-operations platform ("the service"). By creating an organization, joining an existing one, or using the service in any way, you accept these terms on behalf of the organization you represent and confirm that you have authority to do so. If you do not agree, do not use the service.
Acceptance is electronic and counts as a declaration of will, in the form of art. 10, §2 of Provisional Measure 2.200-2/2001 and art. 107 of the Brazilian Civil Code.
These terms take effect on acceptance and remain in force for as long as you use the service. The version in force is the one published on this page, dated above; section 17 governs how it changes. The operator is identified in section 18.
02 — What Tave is (and what it is not yet)
Tave organizes an agency's commercial and delivery operation: a deal pipeline, clients and contacts, proposals, documents and electronic signature, templates, and an event log that keeps the history of everything that happened.
We describe features accurately — an internal rule, not a courtesy: what appears in our marketing exists in the product. Features still being built (the client portal, email-in messaging, forms, scheduling, invoicing, the automatic watchers, the two AI features) are presented as planned when they appear, and planned is not a contractual promise. What you contract for is what exists on the day you contract.
We may improve and change the service. We will not remove core functionality you pay for without reasonable notice and an alternative — and if we remove something you were using and there is no acceptable replacement, you may close your plan and get back the proportional part already paid and unused.
03 — Your account, your team and your credentials
You are responsible for the people you invite into your organization and for what they do there — the roles (owner, member, finance, contractor) exist so you can limit what each one reaches, and using them is your decision.
Keep credentials secure and tell us immediately at legal@usetave.com if you suspect unauthorized access. Do not share accounts between people: everyone with access should have their own.
We may require confirmation of email ownership for sensitive operations, and we may end active sessions where there is a sign of compromise.
04 — Plans, seats and limits
Plans are flat-priced by organization size class, not per seat — the logic being that agencies run on contractors, and charging per head punishes the ones that fluctuate. Each class's limits (seats, active clients, branding features) are on the pricing page, which forms part of these terms by reference.
Access for your agency's clients — to portals, forms and signatures — is free and consumes no seat, on any plan.
If your organization outgrows the class you contracted for, we tell you and give reasonable time to move plans before any restriction. We do not block access to data you already created because of a plan limit.
05 — Your clients' access
The surfaces your agency's clients see carry your agency's brand, not ours. That is a product rule and you can rely on it.
Your client's access works through a link sent to a contact's email address. THE LINK IS THE CREDENTIAL: whoever controls that inbox — including someone the email was forwarded to — can act as that contact until the link expires or you revoke it. That is a product choice, made so as not to impose a password on your agency's client, and you need to know about it to decide what you send that way.
It is your responsibility to keep the contact list accurate, revoke access for people who have left, and not send through that channel anything that requires a level of identification the product does not offer.
06 — Electronic signature: what we do and how valid it is
TAVE PROVIDES SIMPLE ELECTRONIC SIGNATURE. It is not a qualified signature with an ICP-Brasil certificate and we verify nobody's civil identity: the signer is identified by possession of the email address the link was sent to, plus the details captured at the moment of signing.
IN BRAZIL. Art. 10, §2 of Provisional Measure 2.200-2/2001 expressly admits other means of proving the authorship and integrity of an electronic document, including without an ICP-Brasil certificate, PROVIDED the parties admit them as valid or the person against whom the document is invoked accepts them. That is why the consent box exists and is stored word for word: it is the record of that admission. By using the service, you and we admit as valid, between us, documents signed by this means.
Law 14.063/2020 classifies electronic signatures as simple, advanced and qualified (art. 4). Tave's is the simple one. We claim no more than that and we do not let the product claim more — there is even an automated test that breaks the build if any wording in the product suggests a qualified or certified signature or a verified identity.
ENFORCEABLE INSTRUMENTS. Since Law 14.620/2023, art. 784, §4 of the Code of Civil Procedure admits, in enforceable instruments created or attested electronically, any form of electronic signature provided for in law, with witness signatures waived where the document's integrity is attested by a signature provider. Tave does attest and record integrity (a SHA-256 hash chain and the sealed PDF's hash), but whether that waiver reaches YOUR particular document is a legal assessment for you and your lawyer. We do not claim that it does.
WHERE IT IS NOT ENOUGH. Some acts require a qualified ICP-Brasil signature or a public deed — public and real-estate registries, certain corporate acts, and specific dealings with public bodies, among others. For those, a Tave signature does not serve, and checking is on you.
OUTSIDE BRAZIL. The same signature meets the simple electronic signature (SES) standard of the eIDAS Regulation in the European Union and the ESIGN Act / UETA in the United States, for ordinary commercial contracts. It is a qualified signature under neither regime.
WHAT GETS RECORDED. Typed name, email, server date and time, IP, browser identifier, the exact consent wording and its version, the signature style adopted, a SHA-256 audit chain and the SHA-256 hash of the sealed PDF, written once and protected against change by database triggers. The full description is in the Privacy Policy, section 06.
07 — Price, billing, renewal and cancellation
PAID SUBSCRIPTIONS ARE NOT OPEN YET. This section describes how they will work when they open; nothing here creates a charge today.
Subscriptions will be billed by a merchant of record — an intermediary that appears as the seller, issues the tax document and collects the applicable taxes. It will be named on the sub-operator list before the first charge.
A subscription runs by period (monthly or annual, depending on the plan) and renews automatically until you cancel. The current price and what each plan includes are on the pricing page. A price increase applies only to future periods and is announced at least 30 days in advance; you can cancel before it takes effect.
Cancelling is immediate and unquestioned: the service runs to the end of the period already paid for and does not renew. There is no cancellation penalty and no phone call, retention flow or form.
If we one day offer collection of YOUR clients' invoices through the platform, there may be a fee per invoice processed. The percentage is not decided and we are not going to invent a number here: it will be stated clearly before you switch the feature on, and the feature is optional — invoicing works without it.
08 — If you are a consumer (Brazilian Consumer Code)
In most cases Tave is contracted by a company for professional use, which takes the arrangement outside consumer law. But if, in your case, it is a consumer relationship — an individual or an end user within the meaning of art. 2 of Law 8.078/1990 — the Consumer Defence Code (CDC) applies in full and nothing in these terms takes your rights away.
RIGHT OF WITHDRAWAL. A purchase made over the internet carries a right to withdraw within 7 (seven) calendar days of contracting, with no justification needed and a full refund (CDC art. 49). Just write to legal@usetave.com.
UNFAIR TERMS. The liability limits in section 13 do not apply where art. 51 of the CDC makes them void. Where these terms conflict with the CDC, the CDC prevails.
E-COMMERCE. We follow Decree 7.962/2013: clear identification of the supplier, a summary of the contract before contracting, immediate confirmation of the order and of any cancellation, and a support channel that answers. Ours is legal@usetave.com.
VENUE. A consumer may sue in the courts of their own domicile (CDC art. 101, I), and that option prevails over the venue clause in section 16.
09 — Your content and your data
Everything you and your clients put into Tave — proposals, documents, messages, answers, files, event history — is yours. We acquire ownership of none of it.
You grant us only the licence strictly necessary to host, process, transmit, display and back up that content for the purpose of running the service for you. The licence ends when the content is deleted.
We process that data as an operator, under the Privacy Policy and the Data Processing Agreement, which forms part of these terms.
Estimated and actual hours are internal to your organization and never appear on a client-facing surface or on an invoice. That is enforced by the code, not by the goodwill of whoever builds the screen.
Export: you can export your data while the organization exists. On closure, we offer the export before deleting.
10 — Acceptable use and suspension
Do not use the service to break the law, send unsolicited bulk messages, infringe anyone's rights, probe or disrupt the infrastructure, work around technical limits, or present a signature record as something other than what it is.
Do not put sensitive personal data (LGPD art. 11) into the product, or children's and adolescents' data without the legal basis of art. 14 — the service was not built for them.
We may suspend an account that endangers the service, other customers or third parties. Wherever reasonable we give notice first and time to fix it; where the risk is immediate we act first and explain afterwards, in writing.
11 — Intellectual property
The service, the software, the brand, the design and the documentation are ours, protected by Laws 9.279/1996, 9.610/1998 and 9.609/1998. You receive a personal, non-transferable, non-exclusive licence limited to the term of your plan.
You remain the owner of your content and your brand. Using your brand on the white-labelled surfaces authorizes us only to display it in order to run your portals and documents — nothing beyond that.
Decompiling, reverse engineering (except where the law allows), reselling, or making the service available to third parties as if it were yours, outside the intended use, is not permitted.
Suggestions and feedback you send us may be used to improve the product, with no obligation on us and without transferring any right of yours in your own content.
12 — Availability, changes and support
We work to keep the service available, but we do not promise uninterrupted availability and, at this stage, we offer no service level agreement with credits. When an SLA exists it will be its own document, with numbers in it.
Scheduled maintenance is announced in advance wherever possible and carried out in a low-usage window. Unscheduled downtime is communicated as soon as it is detected.
Support is by email, in Portuguese and English, on business days. The channel is hello@usetave.com; contractual matters, legal@usetave.com; personal data matters, privacy@usetave.com.
13 — Warranties and limitation of liability
The service is provided as it is. Alerts, margin figures and forecasts are deterministic calculations over the data in your account: they are operational signals, not financial, accounting, tax or legal advice. Business decisions are yours.
We are not responsible for the content you or your clients put into the product, for the accuracy of the data you enter, or for the consequences of a document you chose to sign electronically.
To the maximum extent permitted by applicable law, our aggregate liability for any claim relating to the service is limited to the amount you actually paid in the 12 (twelve) months before the triggering event, and neither party is liable for indirect damages, lost profits or loss of opportunity.
THOSE LIMITS DO NOT APPLY to wilful misconduct, gross negligence, a personal data breach caused by us, or any case where Brazilian law — in particular the Consumer Defence Code and the LGPD — does not allow limitation. Nothing here limits liability that cannot be limited.
Unforeseeable circumstances and force majeure follow art. 393 of the Civil Code.
14 — Termination and what happens to the data
You may close your organization at any time, in the product or by writing to legal@usetave.com. The subscription runs to the end of the period already paid for.
We may terminate for a material breach that remains uncured 14 (fourteen) days after written notice, and immediately in the case of unlawful use that exposes third parties.
After closure: an export is offered, then 30 (thirty) days of grace during which the data is still recoverable, then permanent deletion — save for what the law requires us to keep and the evidence of signed documents, which passes a legal-retention check before any deletion (Privacy Policy, section 11).
Sealed PDFs stay retrievable throughout the grace period. Download yours before it ends.
15 — Changes to these terms
We may update these terms. A material change is announced by email to organization owners at least 30 (thirty) days before it takes effect.
If the change is unfavourable to you, you may close before it takes effect and get back the proportional part already paid and unused. Continuing to use the service after it takes effect means accepting the new version.
The date at the top of this page always reflects the version in force. Earlier versions are available on request to legal@usetave.com.
16 — Governing law, venue and dispute resolution
These terms are governed by Brazilian law, in particular the Civil Code (Law 10.406/2002), the Consumer Defence Code (Law 8.078/1990) where applicable, the LGPD (Law 13.709/2018) and the Marco Civil da Internet (Law 12.965/2014).
Before any court action, the parties will try to resolve the dispute directly and in writing, within 30 (thirty) days of notice — a good-faith requirement, not a waiver of any right.
For business customers, the courts of the district of Balneário Camboriú, State of Santa Catarina — the operator's seat — are elected, waiving any other however privileged.
For consumers, CDC art. 101, I prevails: the courts of the consumer's domicile.
There is no arbitration clause and no waiver of class actions.
17 — Language
These terms are written in Brazilian Portuguese, and that is the version that governs. The English version is a courtesy translation, published for the convenience of international customers.
IN CASE OF ANY DIVERGENCE BETWEEN THE TWO VERSIONS, THE PORTUGUESE TEXT PREVAILS. This holds for these terms, for the Privacy Policy and for the Data Processing Agreement.
18 — Identification and contact
The service is operated by Tave, with its seat in Balneário Camboriú, SC, Brazil.
General contact: hello@usetave.com. Contractual and legal matters: legal@usetave.com. Personal data and data subject rights: privacy@usetave.com.
